OpCo serves Westlake as its primary customer under the Ethylene Sales Agreement, which obligates Westlake to purchase OpCo's planned ethylene production annually, up to a maximum of 3.8 billion pounds per year, minus approximately 5% sold to third parties. The purchase price paid by Westlake includes a margin, feedstock and natural gas costs, operating costs, and other expenditures. Westlake also has the option to purchase up to 95% of ethylene production exceeding the planned amount. OpCo operates ethylene production facilities at Westlake's Calvert City site and manages a pipeline system connecting various facilities, including Westlake's Longview polyethylene production facility. This pipeline is operated by Buckeye Development & Logistics I LLC as a common carrier pipeline regulated by Texas authorities. OpCo holds licenses for steam cracking and process recovery technologies used at its ethylene plants. Additional agreements with Westlake cover purge gas processing and other services.
