Shenandoah Telecommunications's Comment on Competition and Industry Peers

The company faces increasing competition in its broadband business, with about 30% of its incumbent broadband passings encountering fiber-to-the-home (FTTH) or cable competitors. All Glo Fiber passings have an incumbent cable competitor, and approximately 12% have an incumbent telephone competitor offering FTTH services. Wireless and satellite providers have also entered the broadband market, sometimes partnering with broadband providers to offer combined broadband and wireless bundles. The convergence of wireless and fiber broadband services has led to consolidation in the FTTH segment through mergers, acquisitions, and strategic alliances with large wireless carriers, potentially increasing competition. The company may need to invest substantially in upgrading its hybrid fiber-coaxial (HFC) cable network to remain competitive. Additionally, consumers are increasingly accessing video content from direct broadcast satellite providers and internet-based over-the-top providers, including Amazon, Disney+, Hulu, Netflix, and YouTube TV, contributing to competitive pressures.
