The equipment leasing industry is highly competitive. The Partnership competes
with leasing companies, equipment manufacturers and their affiliated financing
companies, distributors and entities similar to the Partnership (including other
programs sponsored by the General Partner), some of which have greater financial
resources than the Partnership and more experience in the equipment leasing business
than the General Partner. Other leasing companies and equipment manufacturers,
their affiliated financing companies and distributors may be in a position to
offer equipment to prospective lessees on financial terms, which are more favorable,
than those which the Partnership can offer. They may also be in a position to
offer trade-in privileges, software, maintenance contracts and other services,
which the Partnership may not be able to offer. Equipment manufacturers and distributors
may offer to sell equipment on terms (such as liberal financing terms and exchange
privileges or service contracts), which will afford benefits to the purchaser
similar to those obtained through leases. Other competitive factors include pricing,
technological innovation and methods of financing. Certain manufacturer-lessors
maintain advantages through patent protection, where applicable, and through a
policy that combines service and hardware with payment accomplished through a
single periodic charge. As a result of the advantages, which certain of its competitors
may have, the Partnership may find it necessary to lease its equipment on a less
favorable basis than certain of its competitors.
