Cutera Inc's Comment on Competition and Industry Peers

The Company operates in a competitive industry, with its products competing against conventional non-energy-based treatments such as electrolysis, Botox, collagen injections, chemical peels, microdermabrasion, and sclerotherapy. It also competes with laser and other energy-based products from public companies including Abbvie (which acquired Allergan and its division Zeltiq), Bausch Health (formerly Valeant Pharmaceuticals), InMode, and Lutronic. Private competitors include Sisram (parent company of Alma Lasers), Candela (formerly Syneron Candela, acquired in 2017 by an affiliate of private equity funds advised by Apax Partners), Sciton, BTL Industries, Accure Acne, and others. In late 2019, Clayton, Dubilier & Rice acquired Cynosure, LLC, a provider of medical aesthetics systems and technology. The Company also faces competition from North America-based distribution companies such as Cartessa Aesthetics, Reveal Lasers, and Aesthetic Management Partners (AMP). Competition in the industry involves extensive research and development and innovative technology. Despite patents and intellectual property protections, barriers to entry are limited, with many public and private companies developing competing devices. Some competitors have greater resources or focus on sub-markets where the Company does not operate. The Company must demonstrate that its products are attractive alternatives to other devices and treatments to compete effectively.
