Golden Growers Cooperative's Comment on Competition and Industry Peers

Cargill holds a right of first refusal to purchase the other party's interest in ProGold if that party receives an offer or wishes to sell. If a Cargill competitor acquires an equity interest in the Cooperative, Cargill has a sixty-day option to purchase all membership interests in ProGold held by the Cooperative for $81 million plus 50% of the remaining lease payments under the Facility Lease. Additionally, if a Triggering Event occurs on or before December 31, 2026, the Cooperative and Cargill will collaborate to finalize a joint venture agreement.
