Pearl Holdings Acquisition's Comment on Competition and Industry Peers

The company anticipates significant competition from private investors, other blank check companies, and various domestic and international entities pursuing similar acquisition targets. Many competitors, including Meadow Lane, have established experience and greater technical, human, and financial resources, as well as more local industry knowledge. The number of blank check companies seeking business combination targets has increased, with many sponsored by experienced parties. The company's comparatively limited financial resources may restrict its ability to compete for larger target businesses. Additionally, obligations related to shareholder approvals and cash payments for Class A ordinary shares could reduce funds available for the initial business combination, potentially placing the company at a competitive disadvantage.
