Description of Openlane Inc
OPENLANE, Inc. operates a digital marketplace for wholesale used vehicles across the United States, Canada, and Europe. In 2025, the company facilitated approximately 1.5 million vehicle transactions with a gross merchandise value of $28.8 billion. OPENLANE connects automotive manufacturers, dealers, rental companies, fleet operators, captive finance entities, and lending institutions as buyers and sellers. Its services include integrated technology, data analytics, financing, logistics, and remarketing solutions, supported by vehicle logistics centers in Canada. Vehicles are sold primarily by franchise and independent dealerships, as well as commercial sellers such as manufacturers, captive finance companies, financial institutions, fleet operators, and rental car companies. Revenue is derived from buy and sell fees and ancillary products and services, including SaaS-based remarketing, transportation logistics, reconditioning, vehicle inspection and certification, titling, administrative and collateral recovery services, and floorplan financing. OPENLANE generally facilitates direct ownership transfers without taking vehicle title but occasionally sells vehicles it owns. The company’s proprietary SaaS platform supports over 40 private label digital remarketing applications for North American manufacturers and captive finance companies. Its wholly owned subsidiary, Automotive Finance Corporation (AFC), provides floorplan financing to independent used vehicle dealers through approximately 90 branch locations in North America, supporting liquidity and transaction volume on the marketplace. OPENLANE originated from KAR Auction Services and rebranded in 2023 to consolidate its technology platforms and buyer-seller bases under one brand, with a ticker symbol change to OPLN in December 2025.

Vehicle sources include commercial customers such as off-lease, repossessed, rental, and fleet vehicles, as well as dealer inventory and consumer trade-ins. The marketplace operates continuously, offering wholesale vehicle sales through online and mobile applications, including SaaS-based private label selling systems. Revenue is derived from buyer and seller fees and ancillary services; buyer fees are typically tiered by sale price, while seller fees are generally fixed. The registrant generally does not take title to or bear the risk of loss for vehicles sold, except for approximately 2% of vehicles purchased and remarketed by the company.
