Description of Nomadar

Nomadar Corp., incorporated in Delaware in August 2023 and renamed in December 2023, serves as the innovation division of Cádiz Club de Fútbol, S.A.D. (Cádiz CF), a professional soccer club competing in Spain's Segunda División of La Liga. Nomadar operates as a subsidiary of Sport City Cádiz, S.L., which is itself a subsidiary of Cádiz CF. The company commenced limited operations until 2025, when it began generating revenue through services provided under commercial contracts and purchase orders. Nomadar has four business verticals at various stages of development. A key Framework Agreement with Cádiz CF, effective January 10, 2025, defines Nomadar's responsibilities, including coordinating international player registration and enrollment, managing accommodations, liaising with Cádiz CF technical staff, supplying training equipment and merchandising, and integrating its training methodologies into Cádiz CF's sessions. Cádiz CF provides coaching staff, incorporates players into its youth academy teams, and organizes matches. The agreement has a three-year term, is renewable, and may be terminated with 60 days' notice. Nomadar also maintains agreements with ENJOYFOOTBALL, S.L. for player enrollment in its training programs and with the H.O.P.E. Foundation in Ecuador for related activities. The company’s common stock has traded on Nasdaq under the symbol "NOMA" since October 31, 2025.
The Company operates as a single operating segment. Initially, the focus was on completing its Direct Listing prior to October 31, 2025. Following the Direct Listing, the Company continues to concentrate on expanding its revenue-generating activities. The CEO manages and allocates resources based on financial statement line items and evaluates segment performance using net loss. This approach facilitates resource assessment and deployment across functions, potential service lines, and development projects aligned with the Company's long-term strategic goals. Significant segment expenses for the years ended December 31, 2025 and 2024 included revenue, cost of sales, gross profit, general and administrative expenses, professional fees, foreign currency transaction gains or losses, loss from operations, other expenses, and net loss.
