Finwise Bancorp's Comment on Competition and Industry Peers

The Company operates within the banking and financial services industry, competing with a variety of institutions including local, regional, and national commercial banks, credit unions, and non-bank financial service providers such as financial technology companies, private credit lenders, and other financial intermediaries. Some competitors, particularly financial technology firms, are not subject to the same regulatory restrictions and supervision as traditional banks. These fintech companies have been acquiring or pursuing bank charters to gain direct access to deposits, reduce reliance on partner banks, and lower capital costs, enabling them to operate with similar authority as traditional banks. In 2025, federal bank charter applications reached their highest level since 2020, with numerous crypto-adjacent and non-bank firms seeking licensing. Many competitors are larger financial institutions with greater financial resources, competing through product offerings, pricing strategies, and branch locations. Additional competitive factors include office locations and hours, customer service quality, community reputation, personnel continuity, credit capacity and willingness, and the ability to provide sophisticated banking products and services across multiple channels. The Company seeks to maintain competitiveness in fees, interest rates, and pricing while utilizing its banking product suite and service standards.
