Description of Reliance Global Group Inc

Reliance Global Group, Inc. is a holding company that acquires, owns, and manages insurance and technology-focused businesses. The company primarily acquires and operates wholesale and retail insurance agencies and develops proprietary InsurTech platforms to improve distribution efficiency, scalability, and operational integration. Reliance targets fragmented markets by centralizing operational infrastructure, leveraging proprietary technology, and generating recurring cash flows for long-term value creation. As of December 31, 2025, Reliance owned six insurance-related businesses and various proprietary technology platforms. In 2025, the company realigned its portfolio by selling certain insurance brokerage assets and repaying long-term debt. It also adopted a digital asset treasury strategy to allocate treasury assets to cryptocurrencies and blockchain initiatives, overseen by a Crypto Advisory Board. In 2026, Reliance launched EZRA International Group to expand through majority investments in technology-focused businesses, introducing the Scale51 model to acquire controlling interests, generally around 51%, in technology-driven companies. The company continues to operate its insurance brokerage and InsurTech platforms while pursuing investments in artificial intelligence, cybersecurity, fintech, insurtech, medtech, and digital health sectors. Recent transactions include a secured convertible note and share purchase agreement with Enquantum Ltd., a cybersecurity company, and a non-binding term sheet to acquire a majority interest in Scent Medical Technologies Ltd., an Israeli diagnostics company developing AI-based breath diagnostic technologies.
