Enstar Group Ltd's Comment on Competition and Industry Peers

The Run-off segment operates globally in the insurance market, competing with domestic and international reinsurance companies to acquire and manage (re)insurance companies and portfolios in run-off. Competition varies depending on the size of loss portfolios and the location of insurers or insurance risks. Over the past decade, the legacy market has experienced increased competition due to significant alternative capital investment, which has affected deal pricing. Some competitors have recently indicated plans to exit the legacy market. According to PwC global run-off deal data, 13 different acquirers completed run-off transactions in 2024, compared to 12 in 2023. Despite some companies exiting, competition remains strong, influenced by acquisition prices, operational reputation, and financial resources, including new and alternative capital.
