Cboe Global Markets Inc's Comment on Competition and Industry Peers

Cboe operates in a competitive listed options industry, with its four options exchanges competing against 14 other U.S. options exchanges as of December 31, 2025. Two additional U.S. options exchanges are expected to enter the market in the first half of 2026. Competition also includes futures exchanges, swap execution facilities, financial market participants offering similar over-the-counter derivatives, multi-listed options products such as SPY options and cash-settled index options, and event prediction markets providing exposure comparable to proprietary products like SPX options. Equity and ETP options listed on Cboe's exchanges are also traded on other exchanges, which compete by adjusting fees and rebates to attract multi-listed options business, often collaborating with consolidators and order flow providers to increase trading volume. In U.S. equities and the BIDS Trading ATS, Cboe competes with 13 other equities exchanges and over 25 alternative trading systems and single dealer platforms as of December 31, 2025. Market participants have multiple venues for order execution, including national securities exchanges and numerous off-exchange venues.
