Description of Big Digital Energy Inc

Mawson Infrastructure Group Inc. is a U.S.-based technology company specializing in digital infrastructure platforms. It designs, builds, and operates digital infrastructure for enterprise customers and its own use, with a focus on artificial intelligence, high-performance computing, digital assets including Bitcoin mining, and other compute-intensive applications. Mawson operates a vertically integrated infrastructure model providing approximately 129 megawatts of capacity across data centers in the Pennsylvania-New Jersey-Maryland Interconnection Energy Market. The company emphasizes the use of carbon-free energy sources, including nuclear power, to support its platforms. Mawson's operations are organized into four segments: Digital Colocation, AI and HPC Colocation, Energy Management, and Digital Assets Mining. The Digital Colocation segment offers customers space to colocate mining equipment, generating revenue through fees or profit-sharing from mined digital assets. The AI and HPC Colocation segment provides similar services for specialized computing equipment such as GPUs, also utilizing colocation and profit-sharing arrangements. The Energy Management segment employs proprietary models to optimize energy consumption and participates in demand response programs to manage costs and support grid stability. Mawson focuses on power acquisition, customer agreements, and talent retention to enhance profitability across its business segments.
The Company operates a single segment focused on energy management and digital asset mining. The chief operating decision maker (CODM) group, consisting of the Interim Chief Executive Officer and Chief Financial Officer, evaluates financial information on a consolidated basis to allocate resources and assess performance. The CODM uses net income as the primary measure of profit or loss and reviews expenses consolidated across the company. Key operating decisions include purchases, significant acquisitions, and budget allocations among cost of revenues, general and administrative expenses, research and development expenses, and net income. Performance evaluation and resource allocation do not consider segment-specific asset or liability information. All income is generated from operations within the United States.
