Agassi Sports Entertainment's Comment on Competition and Industry Peers

The Company plans to launch the World Series of Pickleball in Las Vegas as a global, multi-day event featuring premium production and integrated media distribution. It faces competition from other fitness-based content providers and various media formats. Barriers to entry in the pickleball and padel industries are relatively low, with some competitors having longer operating histories and greater financial, marketing, and other resources. Industry consolidation and business combinations may increase competition. Competitors may also engage in more extensive research and development, marketing campaigns, and aggressive pricing strategies. The Company intends to leverage its significant ties to Andre Agassi to compete effectively.
