Description of Srx Health Solutions Inc's Business Segments

The registrant's reportable business segments included Canadian pharmacy and healthcare services through SRx Canada, and premium pet health and nutrition products sold through its subsidiary Halo, Purely for Pets, Inc. The Company discontinued its Canadian pharmacy and healthcare services operations conducted through SRx Canada during the year ended September 30, 2025; this segment is now classified as a discontinued operation. Following this discontinuation, the Company's continuing operations consist solely of its premium pet health and nutrition products segment operated through Halo, Purely for Pets, Inc. The Company completed a Spin-Out Distribution of shares of Halo Spin-Out SPV Inc., which held a 17% interest in Halo, to its stockholders; this did not result in a substantive change in ownership of Halo. Subsequently, the Company acquired the 17% interest in Halo previously held by Halo Spin-Out SPV, resulting in 100% ownership of Halo. This transaction was accounted for as an equity transaction with no change in controlling interest. The discontinued SRx healthcare business initiated restructuring proceedings under the Companies’ Creditors Arrangement Act in Canada, which does not affect the continuing pet food and pet wellness operations.
