Description of Liberty Live Holdings Inc
Liberty Live Holdings, Inc. was established in December 2025 through a split-off from Liberty Media Corporation. The company beneficially owns approximately 69.6 million shares of Live Nation common stock, representing about 30% of Live Nation's outstanding shares, along with interests in private assets, corporate cash, and debt obligations associated with the Liberty Live Group. Liberty Live operates as an independent publicly traded company with no continuing stock ownership ties to Liberty Media. The two companies have entered into Ancillary Agreements addressing services, aircraft time sharing, and facilities sharing to manage their post-split-off relationship. Liberty Live reimbursed Liberty Media $25.8 million for administrative services and shared expenses in 2025 and anticipates annual costs of approximately $9.0 million plus $8.0 million in corporate overhead as a standalone entity. Significant subsidiaries and investments of Liberty Live include Live Nation Entertainment, Inc. and QuintEvents, LLC. Live Nation produced over 11,000 concerts in 55 countries in 2025, owns or operates 460 venues worldwide, manages numerous artists, and operates Ticketmaster, which distributed 646 million tickets in 2025. Under a Stockholder Agreement, Liberty Live holds rights to nominate directors to Live Nation's board and has agreed to ownership limits and governance provisions.
Live Nation operates through three reportable segments: Concerts, Ticketing, and Sponsorship & Advertising. The Concerts segment encompasses the global promotion of live music events held in owned, operated, or rented venues, management and operation of music venues, production of music festivals worldwide, creation of related content, and provision of management and other services to artists. In 2025, the Concerts segment generated $20.9 billion, representing 83% of the company's total revenue. During that year, Live Nation promoted approximately 55,000 live music and other events. The segment's revenue is higher in the second and third quarters, reflecting seasonal shows at outdoor amphitheaters and festivals from May through October. Revenue primarily derives from ticket sales, with artist payments based on fixed guarantees and/or percentages of ticket sales or event profits. Venue operations contribute revenue through concessions, parking, premium seating, rental income, and ticket rebates or service charges; concessions at amphitheaters are outsourced with revenue shared with concessionaires. Festival promotion activities include booking artists, securing sites, providing or arranging production and operational services, selling tickets, and advertising events. Revenue is influenced by the number of events, ticket sales volume, and ticket prices, while direct operating expenses include significant event costs such as artist fees and production expenses.
