Description of Equipmentshare Com Inc
EquipmentShare.com Inc operates in the construction equipment rental industry, offering equipment rental and sales services. The company employs a capital-light fleet growth model known as the OWN Program. EquipmentShare relies on relationships with certain suppliers for equipment procurement and faces risks related to supplier agreements, competitive pressures, and market conditions. It operates a cloud-based platform called T3 to support its operations, which involves technical risks and dependence on third-party software and marketplaces. The company's growth strategy includes identifying and opening new branch locations, which may encounter challenges. EquipmentShare is exposed to risks such as economic downturns, supply chain disruptions, workforce management issues, and fluctuations in fuel costs and commodity prices. Additional risks include cybersecurity threats, information technology system vulnerabilities, and insurance coverage for operational claims. The company disseminates material information through its investor relations website, SEC filings, press releases, and other channels.
The company operates through two reportable segments: Equipment Rental and Services Operations, and Equipment Sales. The Equipment Rental and Services Operations segment includes activities at full-service branch locations such as equipment rentals, related services including telematics revenue from rental customer access to the T3 platform, and sales of parts, supplies, and maintenance services to construction contractors and other customers. This segment primarily involves renting equipment owned by the company, leased from OWN Program participants, or leased from third parties, generating rental revenue, RPP service sales, environmental fees, and fuel recovery fees. It also encompasses sales of equipment parts and supplies, maintenance and repair services, and warranty repair services on behalf of original equipment manufacturers (OEMs). Principal costs in this segment include direct operating costs at 352 full-service branch locations and 9 dealership sites, excluding OWN Program payouts and lease expenses, as well as selling, general, and administrative expenses excluding depreciation. Direct operating costs cover wages, service costs, site operations, pickup and delivery, maintenance, fuel, parts, and supplies.
The Equipment Sales segment manages retail processes for selling new and used equipment at branch locations and dealership sites, including sales to participants in the OWN Program. Other business activities include telematics software-as-a-service subscriptions, software applications, related telematics devices for customers' owned fleets, and sales of building materials and hardware supplies.
