Description of Century Aluminum
Century Aluminum Company is a global producer of primary aluminum and operates
aluminum reduction facilities, or "smelters," in the United States and
Iceland. Our primary aluminum facilities produce standard grade and value-added
primary aluminum products.
In addition to our primary aluminum assets, we also own a carbon anode production facility located in the Netherlands ("Vlissingen") and hold a 40% interest in Baise Haohai Carbon Co., Ltd. ("BHH"), a joint venture that owns and operates a carbon anode and cathode facility located in the Guangxi Zhuang Autonomous Region of south China. Carbon anodes are used in the production of primary aluminum and both BHH and Vlissingen currently supply carbon anodes to our smelter in Grundartangi, Iceland.

The Company produces primary aluminum and alumina, managing its operations on a consolidated basis from mining through metal production, reflecting the upstream aluminum manufacturing process. As of the quarter ended March 31, 2025, the Chief Executive Officer and Chief Operating Decision Maker (CODM) reviews financial information solely at the consolidated level to assess business performance and make operating decisions. The Company has determined that its three smelters and Jamalco's mining and refining operations do not qualify as separate operating segments. Consequently, the Company reports a single operating and reportable segment managed on a consolidated basis. Segment assets correspond to total assets reported on the Consolidated Balance Sheets. The Consolidated Statements of Cash Flows include depreciation, depletion, and amortization expenses, as well as capital expenditures. Financial data for this single segment for the years ended December 31, 2025, 2024, and 2023 encompass net sales, cost of goods sold, IRA credit, inventory adjustments, property and equipment expenses, selling, general and administrative expenses, other operating expenses, interest expenses and income, gains and losses on forward and derivative contracts, loss on early extinguishment of debt, bargain purchase gain, other expenses, income tax benefit or expense, equity in earnings or losses of joint ventures, and net income or loss.
