Churchill Downs Inc's Comment on Competition and Industry Peers

The company operates as a racetrack operator, competing with other racetracks that conduct live racing meets concurrently, vying for horses, wagering dollars in the simulcast market, and purse sizes. Competition has intensified following the legalization of gaming and slot machines at nine racetracks. Its HRM entertainment venues in Kentucky, Virginia, and New Hampshire compete with regional casinos as well as other legal and illegal gaming options. TwinSpires competes with other advance deposit wagering (ADW) businesses, brick-and-mortar racetracks, casinos, off-track betting facilities (OTBs), and various legal and illegal sports betting providers. Exacta competes with HRM and other central determinant system providers serving casino and racino operations. The company's retail sports betting business faces competition from commercial brick-and-mortar casinos and racetracks, daily fantasy sports gaming companies expanding into mobile and online sports betting and iGaming, international sports betting businesses entering the U.S. market, and other legal and illegal sports betting and iGaming operators. Overall, the company's gaming properties operate in highly competitive environments alongside traditional brick-and-mortar casinos.
