Many of these competitors have extensive experience in business combinations and possess greater financial, technical, human, and other resources. The company's capacity to acquire larger target businesses is constrained by its available financial resources, which may place it at a disadvantage. Obligations to pay cash to public shareholders who exercise redemption rights can reduce funds available for the business combination. Additionally, outstanding rights and potential dilution may be viewed unfavorably by target businesses. Conflicts of interest involving initial shareholders and their affiliates may affect the company's ability to complete a business combination.
