The company competes with other entities, including special purpose acquisition companies (SPACs), private equity groups, leveraged buyout funds, public companies, and operating businesses, in identifying, evaluating, and selecting a target business for its initial Business Combination. Many of these competitors are well established, with extensive experience and comparable or greater financial, technical, and human resources. The company's capacity to acquire larger target businesses is constrained by its available financial resources, which may provide competitors with an advantage. Furthermore, obligations to pay cash to Public Shareholders exercising redemption rights may reduce the resources available for the Business Combination.
