The Company’s Pharmacy Business Segment operates in a competitive environment that includes local, regional, and national pharmacy chains, independently owned pharmacies, supermarkets, mass merchandisers, and internet pharmacies. Competition from online retailers has increased significantly in recent years. Some competitors have merged with or acquired pharmaceutical services companies, pharmacy benefit managers (PBMs), health insurance companies, mail order facilities, or formed strategic partnerships with wholesalers or PBMs, potentially intensifying competition. The Company may face challenges competing effectively against these entities due to their greater financial and other resources. The profitability of the Company’s Marley Drug business depends on attracting and retaining loyal, repeat customers. Additionally, consolidation within the healthcare industry could negatively impact the Company’s business, financial condition, and results of operations.
