Description of Xmax Inc

XMax Inc., formerly known as Nova LifeStyle, Inc. and Stevens Resources, Inc., is a Nevada-incorporated company established in 2009 that designs and distributes contemporary residential and commercial furniture. The company markets its products globally through wholesale, retail, and online platforms under its brands Nova LifeStyle, Diamond Sofa, and Nova Living. XMax serves designers, distributors, and retailers specializing in mid-level and high-end private label home furnishings, maintaining minimal product overlap among its brands. Operating as a branding and marketing company with vertically integrated third-party manufacturing, XMax provides large-scale sourcing solutions to furniture distributors and national retailers worldwide. The company has established long-term customer relationships across North America, Central America, South America, Asia, and the Middle East, supported by global logistics and delivery capabilities. In March 2026, XMax's Board approved a strategic expansion into artificial intelligence, including AI software and hardware development, cloud and GPU compute infrastructure, AI model access and orchestration, and enterprise AI agent deployment, while continuing its existing furniture operations.
The Company has identified a single reportable operating segment, as its revenue segments share similar economic characteristics and are managed as one business unit. The chief operating decision maker (CODM), the chief executive officer (CEO), reviews consolidated results for resource allocation and performance assessment. Under ASC 280, the Company concluded it has one reportable segment because Diamond Bar, a furniture distributor based in California serving US customers, and Nova Malaysia, a furniture retailer and distributor focusing on customers primarily in Malaysia and Asia, operate under the same senior management and are managed collectively. Long-lived assets primarily consist of property, plant, and equipment located in the United States and Malaysia for administrative purposes. Customer sales by geographic area are based on the physical shipment delivery locations requested by customers.
