Description of Ton Strategy
TON Strategy Company is a digital asset treasury and Web3 ecosystem firm focused on supporting The Open Network (TON), a public blockchain. The company implements a cryptocurrency treasury strategy by acquiring Toncoin, the native cryptocurrency of the TON blockchain. Its operations include maintaining and expanding its customer base, developing enhancements and new features for existing services, and launching new product platforms such as MARKET.live. TON Strategy Company aims to grow revenues through strategic relationships and increase platform adoption. The company’s financial results and liquidity are influenced by its dependence on the TON blockchain and Toncoin. It faces risks related to regulatory compliance in the digital asset sector, cybersecurity incidents, competition, reliance on third-party internet providers, attracting and retaining qualified management, and maintaining compliance with Nasdaq Capital Market listing requirements. The company acknowledges uncertainties and risks that may affect its profitability, operational viability, and ability to execute its business strategy, including macroeconomic conditions and evolving regulatory environments.
The Company operates three reportable segments: TON, MARKET.live, and Go Fund Yourself. MARKET.live is a multi-vendor livestream shopping platform focused on interactive, video-based social commerce. It enables brands, retailers, and creators to broadcast shoppable events across social and video channels including TikTok, YouTube, Facebook, Instagram, and Pinterest. The platform integrates with Meta, TikTok, Pinterest, and other networks to provide native checkout experiences and seamless purchase data flow. In 2024, MARKET.live became an official TikTok Shop Partner, offering services such as onboarding, store setup, creative production, influencer management, and store optimization. In 2025, the Company acquired LyveCom, an AI-driven video commerce platform, to enhance MARKET.live’s multicast and AI capabilities, supporting omnichannel livestream shopping with unified checkout, inventory control, and zero-party customer data capture. Go Fund Yourself is an interactive social crowdfunding platform that provides exposure for Regulation CF and Regulation A offerings. It airs weekly on CheddarTV and generates revenue from issuer fees related to appearances, marketing, advertising, and content production.
