Description of Qt Imaging Holdings Inc Exact Name Of Registrant As Specified In Its Charter _______________________

QT Imaging Holdings, Inc., through its subsidiary QT Imaging, Inc., is a medical device company specializing in the research, development, and commercialization of body imaging systems using low energy sound. Founded in 2012 and headquartered in Novato, California, the company has developed a body imaging technology that produces high-resolution volumetric images of breast tissue using ultra-low frequency transmitted and reflected sound waves. Supported by nearly $18 million in funding from the U.S. National Institutes of Health, the technology employs a proprietary sound back-scatter design and inverse-scattering reconstruction algorithms to generate quantitative 3D images of tissue properties. The company's primary product, the QT Breast Scanner (Breast Acoustic CT™ scanner), is a Class II medical device cleared by the FDA under Section 510(k). It provides automated 3D breast imaging without ionizing radiation or breast compression. QT Imaging is also developing a cloud-based software-as-a-service platform to deliver AI and machine learning algorithms for diagnostic decision support, aiming to integrate hardware, software, and cloud-based AI modules into a precision imaging platform.
The Company operates a single reportable segment focused on the development and commercialization of the QT Breast Scanner. The Chief Executive Officer serves as the chief operating decision maker, evaluating performance, making operating decisions, and allocating resources based on net loss reported in the consolidated statements of operations and comprehensive loss. Segment assets correspond to total consolidated assets as presented in the consolidated balance sheets. The segment's revenue, key expenses—including salaries, bonuses, employee benefits, and stock-based compensation—and net loss for the years ended December 31, 2025 and 2024 are disclosed. All long-lived assets are located in the United States. The Company holds a National Institutes of Health subaward through the Board of Trustees of the University of Illinois for the development of a quantitative ultrasound breast scanner. Grant income from this subaward is recognized as research and development and selling, general, and administrative expenses. The cost reimbursement subaward is allocated annually over five years, expires on July 31, 2027, and may be terminated with 30 days written notice.
