Description of Positron
Positron Corporation, incorporated in Texas in 1983 and headquartered in North Tonawanda, New York, is a medical technology company specializing in the co-development, manufacture, and sale of PET and PET-CT imaging systems. The company primarily focuses on cardiac PET imaging for nuclear cardiology applications in diagnosing and managing cardiovascular disease, with additional applications in oncology and neurology. Positron combines proprietary PET and PET-CT systems with clinical and technical support, flexible financing, and operational services for hospitals, outpatient centers, and physician practices. The company is preparing to launch the Affinity™ PET-CT 4D 64-slice system, designed to improve clinical performance, workflow efficiency, and system capabilities across multiple clinical applications. Positron collaborates with Shenyang Intelligent Nuclear Medical Technology Co. Ltd., a subsidiary of Neusoft Medical Systems, under an expanded business cooperation and OEM supply agreement, holding exclusive rights to sell and distribute PET and PET-CT scanners in the North American market. The company provides clinical, training, and technical support services, including training, remote diagnostics, and maintenance programs, as well as flexible commercial arrangements such as rental and service agreements structured as multi-year contracts to address healthcare providers' operational and financial requirements.
The Company operates as a single reportable segment, as its Chief Operating Decision Maker, the Chief Executive Officer, reviews the business in its entirety rather than by separate components. In accordance with FASB ASC 280, Segment Reporting, the Company has determined that it does not have multiple reportable segments meeting quantitative thresholds. Major expenses contributing to loss from operations and net loss include cost of sales, general and administrative expenses, net interest expense, and amortization of debt discount. The Company adopted ASU 2023-07 effective December 31, 2024, which requires disclosure of segment profit or loss measures and significant segment expenses; however, this adoption did not alter the identification of reportable segments or materially affect segment-related disclosures.
