The company anticipates competition from private investors, other blank check companies, and various domestic and international entities pursuing similar acquisition targets. Competitors often possess greater experience, technical expertise, human capital, financial resources, and local industry knowledge. The company's comparatively limited financial resources may constrain its ability to acquire larger target businesses. Additionally, obligations to offer public shareholders redemption rights during initial business combinations could place the company at a competitive disadvantage in negotiations. Upon closing the Business Combination, a non-competition and non-solicitation agreement will be executed, restricting the Seller from competing with the company or soliciting its employees or customers for five years.
