Description of Gpgi Inc
GPGI, Inc. (formerly CompoSecure, Inc.) is a permanent capital platform focused on acquiring, owning, and scaling businesses with strong market positions. The company operates through two primary subsidiaries: CompoSecure, L.L.C., a manufacturer of premium metal credit cards and provider of secure authentication solutions, and Husky Holdings LLC, a manufacturer of injection molding equipment and aftermarket services for the food, packaging, and medical markets. GPGI's operations and strategy are managed by Resolute Holdings Management, Inc. (NYSE: RHLD), which was initially a wholly owned subsidiary and later spun off to GPGI's shareholders. The company employs the Resolute Operating System (ROS) to drive continuous improvement and growth. GPGI seeks to enhance the performance of its existing businesses and pursue acquisitions that meet criteria including strong market position, technological differentiation, growth opportunities, and sustainable free cash flow. Its permanent capital base enables it to act as a buyer for private assets, providing sellers with upfront cash, speed, certainty, and access to a diversified shareholder base. The management structure and capital base support accretive acquisitions and long-term value creation.
The Company operates primarily in the business-to-business segment, specializing in the manufacture and delivery of metal payment cards based on customer-specific purchase orders or statements of work. Each card within an order is considered a separate performance obligation, fulfilled upon transfer of the goods to the customer. Contracts are generally short term, with revenue recognized when control is transferred. Payment terms range from 15 to 60 days. Revenue is reported net of variable considerations, including discounts, rebates, and returns. The Company adopted ASU 2023-07 for segment reporting effective for fiscal years beginning after December 15, 2023, and updated its segment reporting accordingly in its consolidated financial statements for the year ended December 31, 2024.
