Description of Giftify Inc
Giftify, Inc., a Delaware corporation, owns and operates Restaurant.com, a restaurant-focused digital deals brand. In December 2023, Giftify acquired CardCash Exchange, Inc. (CardCash), a gift card exchange platform that purchases merchant gift cards at a discount and resells them at a markup. CardCash supports buying and selling gift cards from over 1,100 retailers, including Target, Home Depot, Starbucks, and TJ Maxx. Following the acquisition, CardCash's President, Elliot Bohm, joined Giftify's Board of Directors. In May 2025, Giftify acquired Takeout7, Inc., integrating its operations into Restaurant.com.
Giftify operates two main divisions: Business-to-Consumer (B2C) and Business-to-Business (B2B) for both CardCash and Restaurant.com. CardCash provides a marketplace for consumers and businesses to optimize gift card value, utilizing fraud-prevention technology called FraudFix. Since its inception, CardCash has saved consumers over $100 million and offers white-label solutions to retailers such as Amazon, Best Buy, CVS, and Dell. The platform also facilitates B2B exchanges for managing surplus gift card inventory and bulk procurement. Giftify engages in social responsibility initiatives through partnerships with charitable organizations including Charity On Top and St. Jude’s Research Hospital.
The Company operates as a single reportable and operating segment focused on the sale of gift cards and discount certificates to customers. It generates revenue primarily in the United States and manages its business on a consolidated basis. The Chief Executive Officer, serving as the chief operating decision maker, reviews consolidated financial information and allocates resources based on net loss. Major segment expenses include employee compensation, stock-based compensation, merchant fees, and consulting and outside provider costs. Additional operating expenses consist of advertising, corporate compliance, and overhead. The Company evaluates financial performance using consolidated net loss and monitors budgeted versus actual results to assess performance and determine management compensation.
