Description of Fold Holdings Inc

Fold Holdings, Inc., founded in 2019, is a financial services company focused on integrating bitcoin into consumer financial products. The company operates a banking and payments platform that supports both U.S. dollars and bitcoin. Its offerings include an FDIC-insured checking account through Sutton Bank, the Fold Visa Prepaid Card, bill payment services, a bitcoin rewards credit card issued by Celtic Bank, a bitcoin gift card, and a range of merchant reward offers. Fold partners with BitGo to provide bitcoin exchange and custody services nationwide. The company also collaborates with retailers and employers to offer bitcoin-enabled financial benefits in commercial and workplace settings. Fold holds bitcoin in its corporate treasury as part of its long-term capital strategy. In March 2026, Fold launched the Fold Credit Card on a limited basis, targeting prime and super-prime consumers to earn bitcoin rewards credited as bitcoin promotional credits. The Fold Rewards Program provides bitcoin rewards for qualifying actions, including purchases with the Fold Debit Card and merchant offers, with reward rates determined by Fold. All products and services are available in the United States through the Fold mobile application.
The registrant operates as a single operating and reportable segment. Operating segments are defined as components of an enterprise for which separate financial information is regularly reviewed by the Chief Executive Officer (CEO), who serves as the chief operating decision maker (CODM), to allocate resources and assess performance. For the years ended December 31, 2025 and 2024, all operations were conducted within the United States. The CODM evaluates performance and allocates resources based on entity-wide financial information. Consequently, the company operates as one operating and reportable segment. The primary financial measure used by the CODM to assess performance is operating income (loss) as reported in the statements of operations. Segment expenses and other items are provided on the same basis as in the statements of operations. The CODM does not evaluate performance or allocate resources based on segment assets; therefore, segment asset information is not disclosed in the financial statement notes.
