Description of
ESG Inc., formerly known as Plasma Innovative Inc., is a Nevada corporation that transitioned from developing cold plasma applications for agriculture to functioning as a holding company focused on sustainable plant-based ingredients and food production and distribution. Following a share exchange and merger completed in late 2023, ESG Inc. became the surviving entity, with headquarters in Chadds Ford, Pennsylvania. The company operates primarily through its subsidiaries in China, including Funan Allied United Farmer Products Co., Ltd., Anhui Allied United Mushroom Technology Co., Ltd., and Anhui Allied United Mushroom Co., Ltd., which are engaged in the mushroom, agriculture, and food industries. ESG Inc. controls these subsidiaries through ownership held by ESG China Limited (Hong Kong) and Hainan ESG Technology Co., Ltd. (PRC). As a holding company, ESG Inc. does not directly operate in China but exercises control over its Chinese operating companies. The company complies with applicable PRC laws and has obtained necessary governmental authorizations for its subsidiaries. ESG Inc. plans to expand its food-related business by leveraging the management team's industry experience and relationships and acknowledges the unique legal and operational risks associated with its China-based operations.
The Company has identified three operating segments in accordance with ASC Topic 280, "Segment Reporting." These segments are white button mushroom, compost III, and mushroom seasonings. The chief financial officer, serving as the chief operating decision maker (CODM), reviews consolidated results to allocate resources and assess the Company's performance.
