Description of Cartesian Growth Iii

The registrant is a blank check company incorporated in the Cayman Islands on October 29, 2024, established to pursue a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization, or similar business combination, referred to as the initial business combination. The company is open to any industry or sector but initially focuses on high-growth businesses with proven or potential transnational operations to utilize the management team's experience, reputation, and network. The company completed its initial public offering on May 5, 2025, raising $276 million through the sale of 27.6 million units and an additional $6.8 million from private placement warrants. The sponsor is an affiliate of Cartesian Capital Group, LLC, a global private equity firm with over $3 billion in committed capital and extensive international private equity experience. The registrant's business strategy is to identify and combine with an established high-growth company that can benefit from the management team's growth-oriented and disciplined value-creation approach, which includes organic growth, targeted combinations, and strategic planning. Acquisition criteria include high-growth potential, proven business models, significant transnational operations, alignment with the United Nations Principles for Responsible Investment, proven management teams, willingness to participate in value-creation efforts, and offering attractive valuations to shareholders.
The Company has identified a single reportable segment. The Chief Financial Officer, serving as the Company's Chief Operating Decision Maker (CODM), reviews the operating results of the entire Company to make resource allocation decisions and assess financial performance. The CODM evaluates performance based on net income or loss and allocates resources accordingly. Segment assets are reported as total assets on the balance sheet. Key metrics reviewed by the CODM include cash, investments held in the Trust Account, general and administrative costs, and interest earned on investments held in the Trust Account. General and administrative costs represent the primary segment expenses monitored regularly to manage and forecast cash flow, ensuring sufficient capital is available to complete a Business Combination or similar transaction within the Business Combination period. These costs are also managed to maintain and enforce contractual agreements, ensuring alignment with agreements and budget.
