Description of Andersons Inc
Based on proposed business activities, we are a “blank check” company.
Many states have enacted statutes, rules and regulations limiting the sale of
securities of “blank check” companies in their respective jurisdictions.
Management does not intend to undertake any efforts to cause a market to develop
in our securities, either debt or equity, until we have successfully concluded
a business combination. We intend to comply with the periodic reporting requirements
of the Exchange Act for so long as we are subject to those requirements.
We were organized as a vehicle to investigate and, if such investigation warrants, acquire a target company or business seeking the perceived advantages of being a publicly held corporation. Our principal business objective for the next 12 months and beyond such time will be to achieve long-term growth potential through a combination with a business rather than immediate, short-term earnings. We will not restrict our potential candidate target companies to any specific business, industry or geographical location and, thus, may acquire any type of business.

The registrant operates two reportable business segments: Agribusiness and Renewables. The Agribusiness segment focuses on merchandising and logistics management across a range of commodities, manufacturing, distributing, and retailing agricultural and related plant nutrients. It specializes in handling physical commodities such as whole grains, grain products, feed ingredients, and domestic fuel products, primarily corn, wheat, and soybeans. The segment has a broad geographic presence in the United States and Canada, selling exported commodities through intermediaries and direct shipments. It operates grain elevators and generates income from buying, selling, conditioning, and holding commodities in inventory, earning elevation margins from basis value changes, spread fluctuations, and storage fees. The grain handling business is seasonal, with principal harvest periods in July for wheat and September through November for corn and soybeans, though transactions occur year-round. The company manages futures price risk using exchange-traded futures and option contracts on regulated commodity exchanges. The Agribusiness segment also provides grain marketing, risk management, and origination services to customers and ethanol plants within the Renewables segment, earning fees. Competition in commodities and nutrient inputs sales is based on price, service, and reliability, with competitors including public and private grain brokers, farm retailers, elevator operators, and farmer-owned cooperatives, some of which are also customers.
