Bread Financial Announces Partial Repurchase of Convertible Senior Notes Amidst Challenging Financial Performance
COLUMBUS - Bread Financial Holdings, Inc. (NYSE: BFH), a leading player in the financial sector, recently revealed its plan to repurchase a substantial amount of its 4.25% Convertible Senior Notes due 2028 (the Notes) in an effort to strengthen its financial position. The Company entered into privately negotiated agreements with a limited number of holders of the Notes, agreeing to repurchase $237.6 million aggregate principal amount for an estimated cash repurchase price of approximately $350.0 million.
The final cash repurchase price is subject to adjustment, as a portion of the repurchase price will be determined based on the daily volume-weighted average price per share of the Company’s common stock over an agreed measurement period commencing August 9, 2024. This strategic move by Bread Financial demonstrates the Company’s commitment to enhancing its financial standing and maximizing shareholder value.
This development comes amidst a challenging financial period for the company. Bread Financial Holdings Inc achieved a return on average invested assets (ROI) of 2.16% in the second quarter of 2024, which falls below the company’s average return on investment of 4.4%. Despite the deterioration in net income, Bread Financial has managed to improve its ROI compared to the first quarter of 2024.
However, when compared to its peers within the Financial sector, Bread Financial’s ROI lags behind. A total of 89 other companies in the sector reported a higher return on investment. This highlights the need for the company to address underlying challenges to strengthen its overall financial performance and remain competitive in the market.
In a positive development, Bread Financial’s return on investment has shown progress, rising from a total ROI ranking of 1559 in the first quarter of 2024 to 631 for the quarter ending June 30, 2024. This upward trajectory indicates that the company is making efforts to rectify its financial situation. However, further improvements are required to regain its position as a leading player in the industry.
By implementing the repurchase of Convertible Senior Notes, Bread Financial aims to boost its financial position and satisfy the expectations of its investors. This strategic move suggests the company’s determination to navigate through these challenging times and achieve long-term sustainable growth.
