Description of Brag House Holdings
Brag House, Inc. is engaged in business operations that include a pending merger with House of Doge Inc., a Texas corporation. Upon completion, House of Doge will become a wholly owned subsidiary, and Brag House will be renamed House of Doge Inc. The merger will result in House of Doge as the surviving corporation, with current officers of Brag House continuing in senior management roles for the legacy business, which will operate as a division or subsidiary. Lavell Juan Malloy, II, Chief Executive Officer of Brag House, will continue to lead the legacy business.
The company also conducts securities transactions, including the purchase of pre-funded warrants from CleanCore Solutions, Inc., resulting in ownership of 4,000,000 shares of CleanCore's Class B common stock. In July 2025, the company completed a private investment in public equity (PIPE) offering, issuing Series B preferred stock convertible into common stock and accompanying warrants, raising $15 million before fees.
