Description of Seneca Bancorp

Seneca Bancorp, Inc., a Maryland corporation incorporated in June 2025, is the registered bank holding company for Seneca Savings Bank, National Association, following a mutual-to-stock conversion completed in October 2025. The company operates primarily through Seneca Savings Bank, a national bank headquartered in Baldwinsville, New York, with origins dating to 1928. Seneca Savings Bank conducts business from its main office and four branches in Onondaga and Madison Counties, New York, and plans to open additional branches in Camillus and Clay, New York. Its primary market area includes Onondaga County and surrounding central New York counties. The bank's operations focus on accepting deposits and originating various loans, including commercial real estate, commercial and industrial loans, home equity lines of credit, residential real estate loans primarily for sale, consumer loans, and residential construction loans. The company intends to emphasize commercial real estate and industrial loans to diversify its portfolio and manage interest rate risk. Most fixed-rate conforming residential loans are sold in the secondary market. Seneca Bancorp also owns Financial Quest, which provides employee benefit plan consulting, asset management, and tax and financial planning services. The company invests in securities such as mortgage-backed securities, municipal securities, corporate bonds, and Federal Home Loan Bank of New York stock. Following its charter conversion, Seneca Savings Bank is authorized to accept municipal deposits from New York municipalities, enhancing its deposit base.
The registrant operates two reportable business segments: the banking segment, which primarily provides loan and deposit products through Seneca Savings and generates net interest income and service fees; and the wealth management segment, which offers investment management services for individuals and institutions through Financial Quest, generating commission income from 401(k) plan management and brokered accounts.
