Description of Paramount Gold Nevada

Paramount Gold Nevada Corp. is a Nevada corporation formed on June 15, 1992 under the name X-Cal (USA), Inc. Paramount Gold Nevada Corp. common stock trades on the NYSE MKT LLC under the symbol “PZG.”

We are an emerging growth company engaged in the business of acquiring, exploring and developing precious metal projects in the United States of America. Paramount owns advanced stage exploration projects in the states of Nevada and Oregon. We enhance the value of our projects by implementing exploration and engineering programs that are likely to expand and upgrade known mineralized material to reserves. Paramount believes there are several ways to realize the value of its projects: selling its projects to producers; joint venturing its projects with other companies; or building and operating small mines on its own.

Paramount's reportable segments correspond to operating units with losses or assets exceeding 10% of consolidated totals, consistent with the company's management reporting structure. The segments are organized by material property for operational decision-making and performance evaluation. These segments include the Sleeper Gold Project and other Nevada-based projects, the Grassy Mountain Project and other Oregon-based projects, and Corporate. The Corporate segment encompasses additional operating expenses, interest expense, and overhead not allocated to other segments. The Chief Executive Officer serves as the chief operating decision-maker. Segment financial information for the years ended June 30, 2025, and 2024 includes exploration and development costs, reclamation, land holding costs, accretion, corporate expenses, net loss before other expenses, other income and expenses, changes in derivative liability on royalty convertible debentures, interest expense and income, net loss before income taxes, income taxes, and net loss. Non-current assets for each segment as of June 30, 2025, and 2024 are also reported.
