Description of Perimeter Acquisition I
Perimeter Acquisition Corp. I is a Cayman Islands exempted special purpose acquisition company (SPAC). It completed an initial public offering (IPO) of units comprising Class A ordinary shares and redeemable warrants, and issued private placement units to its sponsor, Perimeter Acquisition Sponsor LLC. The company’s primary objective is to identify and complete an initial business combination with one or more target businesses. Its Class B ordinary shares, or founder shares, convert into Class A ordinary shares upon completion of the business combination. Funds raised are held in a trust account to finance the business combination, with withdrawals permitted only for tax payments on interest earned. The management team, including executive officers and directors, is responsible for selecting a target business and completing the combination. The company faces risks related to identifying suitable targets, completing the business combination, retaining key personnel, securing additional financing, and external geopolitical, economic, and public health factors. Its securities consist of public shares, private placement shares, public warrants, and private placement warrants, each with defined rights and restrictions. Current operations focus on completing the initial business combination and associated corporate governance and financial reporting.
The Company has identified a single reportable operating segment. The Chief Executive Officer, serving as the chief operating decision maker (CODM), reviews the Company's overall operating results to allocate resources and evaluate financial performance. The CODM assesses performance based on net income or loss and monitors key metrics such as cash held in the Trust Account, cash, prepaid expenses, prepaid insurance, formation and operating costs, and interest income earned on cash held in the Trust Account. Formation and operating costs are significant expenses regularly reviewed to manage and forecast cash requirements for completing a Proposed Public Offering and a Business Combination within the Completion Window, and to ensure alignment with contractual agreements and budgets. Other segment items included in net income are reported in the statement of operations and detailed in their respective disclosures.
