Description of Inno Holdings Inc

INNO HOLDINGS INC. is a technology company specializing in recycled consumer electronic devices. It sources and purchases pre-owned smartphones and tablets, primarily various models of iPhone and iPad, from suppliers and sells them to wholesalers who resell these products in Southeast Asia, the Middle East, and Europe. The company operates through two Hong Kong-based wholly owned subsidiaries, Lear Group Limited and Baymax High Technology Co., Limited, acquired in late 2024. INNO discontinued its cold-formed-steel manufacturing business and divested all related subsidiaries in the second quarter of 2025. For the fiscal year ended September 30, 2025, recycled iPhones accounted for 100% of the company's revenue. The company plans to expand its product offerings to include laptops such as MacBook and accessories including smartwatches and headphones. INNO relies on a limited number of suppliers who collect pre-owned devices from network carriers, companies, and individuals, with two suppliers accounting for all purchases in 2025. The company focuses on purchasing and selling high-quality Like-New products with minimal signs of use, maintains dynamic inventory management based on market trends, and stores inventory in a leased warehouse in Hong Kong to provide fast responses to customer needs.
The Company determines its reportable operating segments based on the management approach, which reflects the internal organization and reporting used by the chief operating decision maker. For the years ended September 30, 2025 and 2024, the Chief Executive Officer served as the chief operating decision maker. This individual regularly reviews consolidated assets and operating results prepared under U.S. GAAP for the entire enterprise when making resource allocation decisions.
