Randgold Resources Ltd, founded in 1995 by Mark Bristow and Dr. R. Michael Jones, is a mining company headquartered in Jersey, Channel Islands. The company specializes in the exploration, development, and operation of gold mines in Africa. Its operations include five gold mines and projects located in Mali, Ivory Coast, and the Democratic Republic of Congo: the Loulo-Gounkoto complex, Morila mine, Tongon mine, Kibali mine, and Massawa project. The Loulo-Gounkoto complex, the largest mine operated by Randgold Resources, produces over 700,000 ounces of gold annually and comprises two open-pit mines and four underground mines. The Morila mine in Mali is an open-pit operation active since 2000, while the Tongon mine in Ivory Coast began production in 2010. The Kibali mine in the Democratic Republic of Congo, a joint venture with AngloGold Ashanti, has been in production since 2013 and is among the largest gold mines in Africa. Randgold Resources maintains an exploration division focused on discovering new gold deposits in Africa. The company emphasizes responsible mining practices and sustainable development, working with local governments and communities to minimize environmental impact and support economic development. A-Mark operates through three reportable segments: Wholesale Sales & Ancillary Services, Direct-to-Consumer, and Secured Lending. The Wholesale Sales & Ancillary Services segment comprises Wholesale Sales, Storage and Logistics, and Mint operations. In Wholesale Sales, A-Mark offers over 2,000 products, including gold and silver coins, as well as gold, silver, platinum, and palladium bars and ingots. Its customers include coin and bullion dealers, banks, financial institutions, commodity brokerage houses, manufacturers, investors, investment advisors, and collectors who qualify as eligible commercial entities and eligible contract participants under the Commodity Exchange Act. The company also supplies precious metals to industrial and commercial users such as coin fabricators, electronics and component parts companies, and refiners. A-Mark is an authorized distributor and purchaser of gold and silver coins for major sovereign and private mints, including the United States Mint, Australian (Perth) Mint, Austrian Mint, Royal Canadian Mint, China Mint, Banco de Mexico, South African Mint (Rand Refinery), and Royal Mint (United Kingdom). These distribution and purchase agreements are non-exclusive and may be terminated at any time; however, some relationships, such as with the United States Mint, have lasted over 35 years. The company has developed exclusive products with sovereign and private mints for distribution through its dealer network. Orders are accepted via telephone and an electronic trading platform at www.amark.com. Pricing is generally based on spot market quotes with two-day settlement, with options for special pricing and extended terms. Most customers take physical delivery, with shipments made upon payment receipt or financed under credit arrangements. A-Mark collaborates with precious metal depositories worldwide to facilitate shipments, often enabling next-day delivery to customer locations or designated storage facilities. The company also loans metals on a short-term consignment basis, charging interest fees based on metal value. To support Wholesale Sales operations, A-Mark engages in commodity hedging and borrowing and lending transactions. It hedges commodity risk on inventory to protect against market price fluctuations and maintains relationships with major market-makers and multiple futures exchanges.
