Description of Faraday Future Intelligent Electric Inc
Faraday Future Intelligent Electric Inc. (FFAI) is a California-based technology company focused on the design, engineering, and development of intelligent, connected electric vehicles and AI-enabled technologies. Its primary product platform is the AIEV, which includes the FF and FX vehicle series. FFAI manufactures and assembles vehicles at its FF aiFactory California facility in Hanford, California, where assembly, paint operations, final integration, and testing are conducted. The company also maintains engineering and operational capabilities in China through its PRC subsidiaries and is establishing a vehicle assembly facility in the United Arab Emirates to support regional sales and expand its presence in the Middle East market.
FFAI holds a majority interest in AIxCrypto Holdings, Inc. (AIXC), a Nasdaq-listed independent public company focused on embodied AI infrastructure and blockchain infrastructure. AIXC develops digital platforms and infrastructure aligned with FFAI’s AI and digital ecosystem strategy, with blockchain activities currently limited and development-focused. AIXC also holds a legacy biologics asset related to an early-stage oncology program, maintained for potential strategic evaluation.
FFAI is exploring emerging technologies, including a preliminary robotics initiative as part of its broader embodied AI and intelligent mobility strategy. The company operates as a Delaware holding company conducting business through subsidiaries. Its Class A Common Stock is listed on Nasdaq under the symbol "FFAI" and employs a dual-class stock structure to support long-term strategic decision-making.
The company operates two segments: AI Electric Vehicle (AIEV) and digital assets, both of which qualify as separate reporting segments under ASC 280. Until August 12, 2025, the two Global Co-Chief Executive Officers jointly served as Co-Chief Operating Decision Makers (CODMs), evaluating financial performance using consolidated company-level information. Beginning August 13, 2025, Matthias Aydt became the sole CODM. The primary metric for assessing business performance and resource allocation is loss from operations. Key segment expenses include controllable operating costs such as cost of revenue, research and development, sales and marketing, and general and administrative expenses. Management monitors expenditures through cash balances, cash flow projections, and management reports. The CODM works with business leaders to establish operational targets, project timelines, and spending plans, focusing on the production, sales, and leasing of FF 91 vehicles, the planned FF 92 upgrade program, and the commercialization of FX Series vehicles. In 2025, the company acquired a controlling interest in AIXC, which was consolidated from September 29 through December 31, 2025. AIXC is intended as a platform for future crypto-related initiatives; however, no active crypto operations occurred in 2025, and crypto holdings were liquidated to fund the AIXC 92 Table of Contents transaction.
