Description of C3is Inc

C3is Inc. is a holding company incorporated in the Marshall Islands on July 25, 2022. It owns two drybulk carriers through its subsidiaries, assets contributed by Imperial Petroleum Inc. as part of a spin-off transaction. Imperial Petroleum also provided $5 million in working capital in exchange for Common Shares and Series A Convertible Preferred Stock of C3is. On June 21, 2023, Imperial Petroleum distributed all outstanding Common Shares of C3is to its stockholders and warrantholders, completing the separation. C3is operates in the marine transportation industry, specializing in the seaborne transport of drybulk commodities using its vessels, measured in deadweight tons (dwt). The company faces risks including the cyclical demand for drybulk transportation, economic and political factors such as trade protectionism and sanctions, oversupply of ships impacting charter rates, global risks including political conflicts and terrorism, and regulatory risks related to environmental, health, and safety laws. Additional business risks stem from its small fleet size and reliance on charterers' commitments. Between 2024 and 2026, C3is conducted multiple reverse stock splits.
