Description of Championsgate Acquisition

ChampionsGate Acquisition Corporation is a blank check company incorporated in the Cayman Islands. It was formed to effect a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization, or similar business combination with one or more businesses or entities, referred to as its initial business combination. The company has not conducted any operations or generated revenue and is considered a shell company under the Securities Exchange Act of 1934, with nominal assets consisting primarily of cash. On May 29, 2025, ChampionsGate Acquisition Corporation completed its initial public offering (IPO), selling 7,475,000 units at $10.00 per unit, generating gross proceeds of $74,750,000. Concurrently, it completed a private placement of 230,000 units to Sponsor HoldCo for $2,300,000. The IPO proceeds are held in a U.S.-based trust account invested in U.S. government treasury bills or money market funds. Funds in the trust account will be released only upon completion of the initial business combination, certain shareholder votes, or if the company is unable to complete the business combination by a specified deadline. The company’s efforts to identify a target business are not limited by industry or geography. Since the IPO, its sole activity has been identifying and evaluating suitable target businesses. ChampionsGate Acquisition Corporation has no revenue and has incurred losses from formation and operating costs, which have been funded by securities sales and loans from Sponsor HoldCo, the sponsor, and others.
The Company operates as a single operating segment. The Chief Executive Officer, serving as the chief operating decision maker (CODM), reviews the Company's overall operating results to make resource allocation and financial performance assessments. Key metrics considered by the CODM include formation and operating costs. Significant expenses within the segment comprise formation and operating costs, stock compensation expense, loss from operations, interest and dividend income on investments held in the Trust Account, total other income, and net income (loss).
