Description of Adia Nutrition
ADIA Nutrition, Inc., incorporated in Nevada in 1975, was previously a shell company with no active business operations. Following a change in control on January 22, 2024, the company merged its operations and began implementing its business model. On June 30, 2024, ADIA Nutrition acquired Biolete LLC, transitioning to an operating entity with substantial assets and operations. As of January 1, 2025, the company opened additional medical clinics as wholly owned subsidiaries, actively seeing patients and generating revenues. Prior to these developments, ADIA Nutrition had abandoned its business, failed to meet regulatory requirements, and was under custodianship and receivership until its charter was reinstated in 2022. The company currently operates medical clinics and provides healthcare services.
The company operates through three reportable business segments: Biolete, which sells supplements; Adia Med, which provides stem cell treatments to patients; and Adia Labs, which procures and sells stem cell products to external clinics and Adia Med. As of December 31, 2025, Biolete had total assets of $0, Adia Med had $261,208, and Adia Labs had $25,025. The company’s operations and revenue are exclusively within the United States. Corporate overhead costs are allocated to segments only when specifically incurred to support a single segment. The chief operating decision maker evaluates segment performance based on gross profit, operating profit, and net income (loss). For the year ended December 31, 2025, total segment revenue was $700,508, with Biolete generating $2,267, Adia Med $245,960, and Adia Labs $448,888. Segment losses were $(316,139) for Biolete, $(198,889) for Adia Med, and segment profit was $148,783 for Adia Labs.
