Newcourt Acquisition Corp Faces Delay in Business Combination Closure Process
In a recent press release, Newcourt Acquisition Corp (Newcourt) (NASDAQ: NCAC) has announced that the necessary conditions for closing their business combination, as outlined in the Amended and Restated Business Combination Agreement, have yet to be satisfied. This means that the anticipated merger between Newcourt and Psyence Group Inc. (CSE: PSYG) (Psyence) has not taken place as expected.
Newcourt, along with Newcourt SPAC Sponsor LLC, Psyence, Psyence Biomedical Ltd. Pubco, Psyence (Cayman) Merger Sub, Psyence Biomed Corp. and Psyence Biomed II Corp. are actively working together to expedite the fulfillment of these closing conditions. One crucial requirement is obtaining approval from Nasdaq to list Pubco’s ordinary shares following the completion of the business combination.
To address the delay, Newcourt’s shareholders convened on January 22, 2024, and approved an extension to the deadline for consummating the initial business combination. The previous deadline of January 22, 2024, has now been extended to February 22, 2024. However, it is important to note that there is no guarantee that the business combination will be finalized by the new deadline.
