LeddarTech Holdings Inc. (Nasdaq: LDTC), a renowned automotive software company specializing in disruptive AI-based low-level sensor fusion and perception software technology, has announced its successful negotiation of a Ninth Amending Agreement with Fédération des caisses Desjardins du Québec (Desjardins). This agreement, referred to as the Waiver, pertains to the Amended and Restated Financing Offer dated April 5, 2023, also known as the Desjardins Credit Facility.

One of the key stipulations of the Desjardins Credit Facility is that LeddarTech must maintain an unencumbered cash balance of at least C$5.0 million, as part of their commitment to financial stability. However, to accommodate current circumstances, the Waiver temporarily modifies the Minimum Cash Covenant.

Effective from July 5, 2024, through July 6, 2024, Desjardins has agreed to reduce the required Minimum Cash Covenant to C$3.5 million. This adjustment provides LeddarTech with additional financial flexibility during this transitional period. Furthermore, from July 7, 2024, through July 26, 2024, the minimum cash balance required will be further lowered to C$1.8 million. However, once this period ends, LeddarTech will be obligated to restore and maintain the minimum cash balance of C$5.0 million.

LeddarTech’s collaboration with Desjardins showcases the strength of their partnership and the trust placed in LeddarTech’s long-term strategic vision. This temporary waiver highlights the maturity of the relationship between the two companies and their commitment to overcome financial challenges collectively.

The waiver period provides LeddarTech with the necessary financial respite to navigate ongoing industry shifts and adapt its business model accordingly. LeddarVision, the Company’s pioneering AI software for advanced driver assistance systems (ADAS), autonomous driving (AD), and parking applications, has established LeddarTech as an industry leader. This waiver enables the Company to focus on leveraging its cutting-edge technology to drive further innovation and expand its market reach.

By securing this waiver, LeddarTech demonstrates its proactive approach to managing financial obligations and ensuring a smooth transition during a critical juncture. The flexibility granted by Desjardins allows LeddarTech to allocate resources for research and development, engineering improvements, and market development initiatives.

The successful negotiation of the Ninth Amending Agreement with Desjardins emphasizes LeddarTech’s commitment to maintaining financial stability while embracing innovation. As a leading player in the automotive software industry, LeddarTech aims to unlock its full potential and spearhead the development of groundbreaking AI technologies for the future of mobility.

In summary, LeddarTech’s strategic partnership with Desjardins, coupled with the temporary waiver under the Desjardins Credit Facility, bolsters the Company’s financial flexibility during this transitional period. This development signifies LeddarTech’s commitment to innovation, technology advancements, and financial prudence as it continues to shape the future of automotive software.
