This information, which pertains to their subsidiary, Kronos International, Inc. puts the spotlight on dynamics surrounding their existing and proposed senior secured notes.
This offer, released to the public on the 23rd of January, 2024, involves reaching out to selected eligible holders proposing an exchange of up to $325 million in outstanding principal 3.75% Senior Secured Notes due 2025 (the Old Notes) for newly minted 9.50% Senior Secured Notes due 2029 (the New Notes). The hefty exchange offer professes not only to provide New Notes but additional cash consideration, encompassing a full suite of terms and conditions outlined in a Confidential Exchange Offering Memorandum and Consent Solicitation Statement.
Simultaneously, Kronos Worldwide solicits consents from these qualified holders to adopt certain Proposed Amendments to the indenture governing the Old Notes. The proposed changes aim to standardize the restrictive covenants in the Existing Indenture to the restrictive covenants of the New Notes and is referred to as the Consent Solicitation.
The exchange offer and consent solicitation arrive on the heels of the company’s reported numbers in Q3. According to these third-quarter results, Kronos Worldwide Inc. observed a noticeable decrease in the costs of revenue among its corporate clients by -11.48%, a figure that had sequentially trimmed down to -2.72% compared to the previous year.
Meanwhile, the company’s revenue during the same time frame took a downturn as well, with a year-on-year decline of -13.75%. Sequentially, this decrease was marked at -10.56%. The fall was not isolated to Kronos alone; its corporate clients’ revenue also dwindled, with annual and sequential decreases of -10.59% and -3.81% respectively.
