The company uses raw materials in its food production plants and holds multiple contracts to purchase energy for its stores and production facilities. Its obligations include management fees for third-party operated facilities and external service contracts. Upfront vendor allowances or incentives related to purchase commitments are recorded as liabilities. Future commitments encompass orders for customer fulfillment centers as of January 31, 2026, excluding centers not yet ordered. The company plans to meet liquidity needs through cash, cash flows, and borrowings under commercial paper and revolving credit facilities. It operates with a working capital deficit due to efficient cash management and access to capital markets. The company has a daily borrowing capacity of approximately $2.75 billion under its commercial paper program, with no outstanding commercial paper as of January 31, 2026. Borrowing capacity may be influenced by credit rating changes; however, the company expects a minimum daily borrowing capacity of $500 million under the commercial paper program in the event of a ratings downgrade. Factors affecting the credit rating include operating performance, financial position, economic conditions, conditions in the food retail industry, and changes in the business model.
