Bed Bath And Beyond Inc's Comment on Supply Chain

The company operates a supply chain supported by a network of partners, including manufacturers, distributors, and suppliers. It collaborates with third parties to provide financial products and services. The company holds approximately 40% ownership of The Brand House Collective, Inc. (TBHC), formerly Kirkland's, Inc. TBHC has converted several Kirkland's Home stores and launched Bed Bath & Beyond brand stores under an exclusive license. A merger agreement with TBHC is pending, with an expected closing in the first half of 2026. In January 2025, the company entered into an asset purchase agreement with BBBY Acquisition Co. LLC to acquire rights and assets related to the buybuy BABY brand. The company maintains an asset-light supply chain model, shipping products directly to customers from partners or partner-managed warehouses. Additional services offered include business advertising opportunities, marketplace services for partners, and the Supplier Oasis platform for managing products, inventory, and sales channels. While the company fosters relationships with its suppliers to ensure a diverse product offering, these relationships do not guarantee sustained product availability over a specified period.
