The Company holds digital assets through custodians Anchorage Digital Bank N.A. and BitGo Trust Company, Inc. under one-year custodial agreements with automatic renewal. It has an Asset Management Agreement with Galaxy Digital Capital Management LP, effective July 23, 2025, for discretionary investment management of proceeds from the Price Placement Offering. Galaxy Digital employs a long-only investment strategy focused on ETH, including staking activities. Custodians under this agreement include Anchorage, BitGo, and other agreed cryptocurrency custodians. The Company pays Galaxy Digital a tiered asset-based fee ranging from 0.75% to 1.25% per annum, with a minimum monthly fee of $83,333.33, waived from December 1, 2025, through March 31, 2026. The agreement continues until July 23, 2028, with provisions for renewal and termination under specified conditions.
